Terms of Service
These Terms govern your use of all AIGENT NOIR products and services, including AIGENT NOIR FSBO, AIGENT NOIR Agents, and AIGENT NOIR Broker. By using any AIGENT NOIR product, you agree to these Terms.
1. Acceptance of Terms
By downloading, installing, accessing, or using any AIGENT NOIR product or service (collectively, "the Products"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Products.
These Terms apply to all AIGENT NOIR products: AIGENT NOIR FSBO (iOS app for home sellers), AIGENT NOIR Agents (iOS app for licensed real estate agents), and AIGENT NOIR Broker (web application for mortgage brokers).
You must be at least 18 years old and legally capable of entering into contracts to use AIGENT NOIR products. By using them, you represent that you meet these requirements.
2. AI Content Disclaimer
AI-generated content is not professional advice. AIGENT NOIR products use artificial intelligence to provide information about real estate transactions, property valuations, offer analysis, loan pre-qualification, and related topics. This content is for informational purposes only and does not constitute:
- Professional real estate advice or brokerage services
- Legal advice or legal representation
- Financial, tax, or investment advice
- An appraisal or certified property valuation
- A formal mortgage underwriting decision or loan commitment
AI responses may be inaccurate, incomplete, or outdated. Always consult qualified professionals for real estate, legal, and financial decisions. AIGENT NOIR is not a licensed real estate broker or mortgage lender.
3. Safety & Professional Use
Depending on the AIGENT NOIR product you use, the following applies:
- FSBO: You are responsible for verifying buyer identity, taking safety precautions at showings, and not disclosing sensitive information to unverified parties. Scam detection features are tools, not guarantees.
- Agents: You are responsible for complying with applicable real estate licensing laws, MLS rules, and protecting client confidentiality. AI analysis does not substitute for your professional judgment.
- Broker: You are responsible for complying with applicable mortgage lending laws (RESPA, TILA, ECOA, state licensing). AI pre-qualification summaries are informational estimates only — not formal underwriting decisions or loan commitments.
AIGENT NOIR is not responsible for any harm arising from transactions or interactions facilitated through any of its products.
4. Subscriptions & Billing
AIGENT NOIR FSBO
- Pro plan: $79.99/month via Apple In-App Purchase. Free tier available with limited features.
- MLS listing submission: one-time fee of $199, non-refundable once submitted.
- Cancel anytime through Apple ID settings. No refunds for partial billing periods except as required by law.
AIGENT NOIR Agents
- Paid plans billed via Apple In-App Purchase at the rate shown at time of purchase.
- Cancel anytime through Apple ID settings. No refunds for partial billing periods except as required by law.
AIGENT NOIR Broker
- Monthly and annual plans available, billed via the web app.
- Cancel anytime through the Broker web app (Settings → Billing). No refunds for partial billing periods except as required by law.
5. Fair Housing Act Compliance
AIGENT NOIR is committed to compliance with the Fair Housing Act and all applicable federal, state, and local fair housing laws. You agree that you will not use any AIGENT NOIR product to:
- Discriminate against any person based on race, color, national origin, religion, sex, familial status, disability, or any other protected class.
- Create listings, communications, loan evaluations, or screening criteria that have a discriminatory effect, even if unintentional.
- Use AI-generated content in a way that results in discriminatory outcomes.
Violations of fair housing laws may result in immediate account termination and may subject you to civil and criminal liability. If you believe any AIGENT NOIR product has facilitated a fair housing violation, contact us immediately at admin@aigentnoir.com.
6. Your Responsibilities
- You are responsible for the accuracy of all information you provide through any AIGENT NOIR product.
- You are responsible for complying with all applicable laws in your jurisdiction, including real estate disclosure laws, licensing requirements, and mortgage lending regulations.
- You may not use any AIGENT NOIR product to misrepresent yourself, your listings, your clients, or your credentials.
- You may not misuse AI features to generate false, misleading, or deceptive content.
- You may not attempt to reverse engineer, scrape, or interfere with any AIGENT NOIR system.
7. Intellectual Property
AIGENT NOIR products, their design, code, and branding are owned by AIGENT NOIR and protected by copyright, trademark, and other intellectual property laws. You retain ownership of content you create (listings, photos, messages, client files), and grant AIGENT NOIR a limited license to display and process that content solely to provide the service.
8. Limitation of Liability
To the maximum extent permitted by law, AIGENT NOIR and its officers, directors, employees, and agents shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, data, or business opportunities.
- Damages arising from reliance on AI-generated content.
- Harm arising from interactions with buyers, sellers, clients, or third parties facilitated through any AIGENT NOIR product.
- Interruptions, errors, or unavailability of the products or third-party services.
Our total liability to you for any claim arising from use of AIGENT NOIR products shall not exceed the amount you paid us in the 12 months preceding the claim.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability. In those jurisdictions, our liability is limited to the fullest extent permitted by law.
9. Disclaimer of Warranties
AIGENT NOIR products are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the products will be uninterrupted, error-free, or that AI-generated content will be accurate or complete.
10. Termination
We may suspend or terminate your access to any AIGENT NOIR product at any time for violation of these Terms, fraudulent activity, or at our discretion with reasonable notice. You may terminate your account at any time through the product's settings. Termination does not entitle you to a refund of subscription fees already paid.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via in-app notification or email at least 30 days before they take effect. Continued use of any AIGENT NOIR product after the effective date constitutes acceptance of the updated Terms.
